1. Introduction

Welcome to our platform/webpage zenalgo.io, operated by KUMAMI Solutions s.r.o., with its registered office at Jurečkova 1811/18, Moravská Ostrava, 702 00, Czech Republic, ID: 11742739, registered in the commercial registrar administrated by the Regional Court of Ostrava, file no.: C 86731 (hereinafter referred to as the "ZenAlgo", "we", "us" and "our"). By accessing or using our platform, you agree to comply with these Terms & Conditions, which apply to all visitors, users, and others who access or use the platform.

2. Services

Our platform ZenAlgo provides traders and investors with advanced tools, including premium TradingView indicators and analytics, real-time data insights, and customizable trading signals. Users can subscribe to various plans to gain access to these tools and services. We reserve the right to modify or discontinue any feature, service, or product at our discretion without prior notice. The platform is available on an "as-is" and "as-available" basis. Any new features or tools added to the current platform shall also be subject to these Terms & Conditions.

3. Accounts

To use our services, you must create an account by providing accurate and complete registration information. Your account credentials must remain confidential, and you are responsible for all activities that occur under your account. Notify us immediately of unauthorized access or security breaches. Use of accounts for any illegal or unauthorized purposes is strictly prohibited. You agree to provide accurate, current, and complete information during registration and to update your account information promptly if it changes.

4. Paid Plans & Payments

We offer various paid subscription plans with expanded features. Payments are processed via Stripe or other authorized payment providers, and all subscriptions automatically renew unless canceled before the renewal date. Refunds are available under specific conditions outlined in our Refund policy. For annual plans, reminders are not being sent before billing cycles, and it is your responsibility to manage your subscription. We do not accept payments in cryptocurrencies.

5. User Responsibilities

Users must comply with applicable laws and regulations while utilizing our platform. You are responsible for all trading decisions made using our tools and acknowledge that trading carries inherent risks. Do not use the platform for illegal purposes or to transmit harmful content, including viruses or malicious code. Any breach of these responsibilities may result in immediate suspension or termination of services.

6. Intellectual Property

The contents, features, and functionality of the platform, including all text, graphics, logos, and tools, are owned by ZenAlgo or its licensors and are protected by intellectual property laws. Unauthorized reproduction, modification, or distribution of these materials is strictly prohibited without prior written permission. This includes prohibitions on reverse engineering, decompiling, or otherwise attempting to extract source code or proprietary algorithms from the platform.

7. Risk Disclaimer

The ZenAlgo platform, services, indicators, Pine Scripts, and other tools are strictly designed for informational and educational purposes and must never be interpreted as financial or investment advice. Trading and investing inherently involve significant risks, and users should be fully aware that engaging with our tools and materials may result in financial losses.

7.1. Compliance with Czech and EU Investment Laws

ZenAlgo operates under the jurisdiction of the Czech Republic and complies with applicable laws and regulations of the Czech Republic and directly applied laws of European Union, including:

• Act no. 256/2004 Coll., as amended - when ZenAlgo declares that it does not engage in activities requiring authorization by the Czech National Bank (ČNB). Our services are restricted to providing educational and informational tools only.
• MiFID II (2014/65/EU) - when ZenAlgo declares that it operates fully within the framework set out by MiFID II and does not provide regulated investment services such as investment advice, portfolio management, or execution of transactions.

Our tools and services are solely incidental to the business of providing educational resources for technical analysis and do not constitute financial advice under Czech or EU laws.

7.2. U.S. Law Compliance

ZenAlgo is not registered as an investment adviser with the U.S. Securities and Exchange Commission. Rather, ZenAlgo relies upon the "publisher's exclusion" from the definition of "investment adviser" as provided under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 (the "Advisers Act") and corresponding state laws. ZenAlgo is not liable for any direct, indirect, and/or consequential loss and/or damages arising from purchasing and using ZenAlgo's services/products etc., whether in contract, tort or otherwise, included but not limited to loss of use, loss of production, loss of data, loss of contract, loss of opportunity, loss of profits and or financial losses, loss of interest costs, etc., which may be incurred and/or suffered by the other Party in connection with purchasing and/or using of ZenAlgo's services/products etc. ZenAlgo does not guarantee specific outcomes, and all services are provided without warranties of any kind. Users bear full responsibility for their trading decisions. We do not warrant that the platform will be uninterrupted, error-free, or secure.

9. Prohibited Uses

Users are prohibited from:

• Engaging in unlawful activities.
• Transmitting harmful or misleading content.
• Violating intellectual property rights.
• Attempting to access unauthorized areas of the platform.
• Using the platform for spamming, scraping, or similar activities.
• Uploading or transmitting viruses or other destructive code.
• Engaging in activities that harm, abuse, or infringe on the rights of others. Violation of these provisions may lead to immediate suspension or termination of services.

10. Changes to Terms & Services

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on our platform, and continued use constitutes acceptance of these changes. Users are encouraged to review these terms periodically. It is your responsibility to monitor changes to the terms.

11. Withdrawal Exception for Digital Content

Pursuant to Section 1837(l) of the Act no. 89/2012 Coll., as amended, Civil Code (CZE), the user does not have the right to withdraw from a contract concluded remotely via our webpage due to the immediate provision of digital content. This applies automatically because the provision of ZenAlgo's digital content begins after the purchase and before the expiration of the statutory 14-days withdrawal period. In such cases, the users forfeit their right to withdraw under the following conditions:

• by completing the purchase, the user explicitly agrees to the immediate commencement of the service upon the conclusion of the contract and/or
• by agreeing to these Terms & Conditions, user have been informed in advance that the immediate commencement of the service results in the forfeiture of their right to withdraw from the contract.

12. Governing Law

These terms are governed by the laws of the Czech Republic. Legal disputes will be resolved by the respective courts of Czech Republic. Users agree to waive any objections related to jurisdiction or venue of Czech courts.

13. Accuracy of Information

We strive to provide accurate and up-to-date information on our platform. However, we do not guarantee the completeness or reliability of the content, which is provided for general information purposes only. Any reliance on the content is at your own risk.
